Smobilpay Terms and Conditions

These Terms and Conditions of Service (“Agreement”) explain the rules and conditions that apply when you use our Smobilpay platform and services (“Smobilpay Service”). By accessing or using the Smobilpay Service, you agree to be legally bound by this Agreement. Please read it carefully to understand your rights and responsibilities when interacting with Maviance. 1. Introduction

This Agreement is entered into between you (“You”) and Maviance PLC, with its registered office at Rue de l’Hotel de Ville, Bonanjo, Douala – Cameroon (RC/DLA/2020/B/5128), (collectively, « Maviance », « we », « us » or « our »). This Agreement governs your use of the Smobilpay Service. By using the Smobilpay Service, you agree to this Agreement, the Privacy Policy, and any updates posted from time to time. If you do not agree, please do not use the Smobilpay Service.

 

2. Description of Smobilpay Service

Maviance provides payment and financial services via the Smobilpay platforms, including multiple web portals, mobile apps, APIs, and integrations to users and partners in Cameroon and the CEMAC region. These services are designed to facilitate bill payments, money transfers, merchant interactions, and digital financial management.

 

3. Account Creation and User Responsibilities

Users must be at least 18 years old or have parental/guardian consent and the legal capacity to enter into contracts. Users are subject to a Know Your Customer (KYC) process requiring accurate and up-to-date information. Maviance may suspend or terminate accounts that violate the compliance framework or engage in fraudulent activity. Users are responsible for maintaining the security of their login credentials and all actions taken under their account. You must also comply with any applicable technical integration protocols and Maviance’s security policies.

 

4. Acceptable Use Policy

The service must be used lawfully and ethically. Prohibited uses include:

  • Fraudulent, unauthorized, misleading, or unlawful transactions

  • Submission of false, inaccurate, or outdated information

  • Harassment, stalking, or abuse of other users

  • Spamming or sharing offensive or discriminatory content

  • Disrupting service integrity or attempting unauthorized access

  • Hosting harmful software or generating excessive traffic

Maviance reserves the right to suspend or terminate services at its sole discretion in such cases.

 

5. Intellectual Property

All rights, title, and interest in the Smobilpay Services, including but not limited to patents, trademarks, designs, copyrights, software code, algorithms, and trade secrets (« Intellectual Property ») remain the sole property of Maviance. You may not:

  • Copy, reverse engineer, or modify the service

  • Create derivative works or use the content commercially without permission

  • Transfer or sublicense the Intellectual Property

You agree that you do not acquire any right, title, or interest in or to Maviance’s Intellectual Property by using the service.

 

6. Confidentiality

All information disclosed by either party that is marked as confidential, or understood to be confidential, must remain confidential and not be disclosed to third parties without prior written consent. This includes technical data, trade secrets, and business plans. This obligation continues even after the termination of this Agreement.

 

7. Third-Party Sites and Services

This Agreement does not apply to third-party websites or services linked through the Smobilpay Service. Maviance is not responsible for the content, data practices, or activities of those third-party sites. Users follow external links at their own risk.

 

8. Term and Termination

This Agreement is valid for two (2) years from the signature date and will auto-renew annually unless either party provides three (3) months’ written notice. Users may terminate the Agreement at any time with thirty (30) days’ notice. Maviance may terminate immediately for non-compliance or breach. Upon termination, Maviance may return any user data upon request within 30 days. After that, all data will be deleted unless legally required to be retained.

 

10. Disclaimer

While Maviance strives to provide accurate and updated information, the Smobilpay Service is offered “as is.” We do not guarantee uninterrupted access, system compatibility, or the completeness of content. Users are responsible for verifying any content before relying on it.

 

11. Indemnity

You agree to indemnify and hold Maviance harmless from any claims, damages, liabilities, or legal actions resulting from your misuse of the Smobilpay Service, violation of third-party rights, or breach of these Terms.

 

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Cameroon. You agree to the exclusive jurisdiction of the courts located in Douala, Cameroon.

 

13. Severability and General Provisions

If any provision of this Agreement is deemed invalid, the remaining provisions shall remain enforceable. A waiver of any right must be made in writing and shall not be deemed a permanent waiver. You may not assign your rights under this Agreement without prior written consent. These Terms constitute the entire agreement between you and Maviance regarding use of the Smobilpay Services and supersede any prior agreements.

 

14. Export Control and Anti-Corruption

You agree to comply with all applicable export control laws and regulations. You also confirm that you are not subject to any sanctions and that no illegal or improper payment has been or will be made to Maviance.
